1. Binding Agreement

These Terms of Service (“Agreement”) constitute a legally binding agreement between you (“Client”) and Reform the Middle (“Company”). By accessing this website or engaging in services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. Scope of Services

The Company provides career coaching, advisory, and professional development services. These services are consultative in nature and are not to be construed as legal, financial, medical, or psychological advice.

All services are delivered based on professional experience, best practices, and client-specific context; however, outcomes are inherently variable.

3. Fees & Payment Terms

All fees are due in full at the time of service or in advance, unless otherwise agreed in writing.

Accepted forms of payment include:

  • Cash

  • Venmo

  • Check

The Company reserves the right to:

  • Decline or terminate services for non-payment

  • Suspend future bookings until outstanding balances are resolved

Returned checks may incur additional fees.

4. Scheduling, Cancellations & No-Shows

Clients are required to provide a minimum of 24 hours’ notice for cancellations or rescheduling.

  • Late cancellations may result in forfeiture of payment

  • No-shows are non-refundable

  • Exceptions are granted solely at the Company’s discretion

This policy exists to protect reserved time and operational integrity.

5. Professional Boundaries & Client Responsibility

Clients acknowledge and agree:

  • They retain full responsibility for all decisions, actions, and outcomes

  • Coaching is a collaborative process—not a directive service

  • Implementation and results depend entirely on client execution

The Company does not guarantee specific results, including but not limited to:

  • Job placement

  • Compensation increases

  • Career transitions

6. Intellectual Property & Confidential Materials

All materials, frameworks, documents, and methodologies provided by the Company are proprietary intellectual property.

Clients are granted a limited, non-transferable, non-commercial license for personal use only.

You may not:

  • Reproduce

  • Distribute

  • Sell

  • Share with third parties

without prior written consent.

7. Confidentiality

The Company maintains strict confidentiality regarding client information, except:

  • Where disclosure is required by law

  • Where there is risk of harm

  • Where information is voluntarily shared publicly by the client

Clients agree to extend the same confidentiality to proprietary materials and methods.

8. Limitation of Liability

To the fullest extent permitted by law:

The Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from:

  • Participation in coaching services

  • Decisions made by the client

  • Use of website content

Total liability, if any, shall not exceed the amount paid for services.

9. Indemnification

You agree to indemnify and hold harmless Reform The Middle from any claims, damages, liabilities, or expenses arising from:

  • Your use of services

  • Your actions based on coaching guidance

10. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Oregon.

11. Modifications

The Company reserves the right to modify these Terms at any time. Continued use of services constitutes acceptance of updated terms.
